Terms of Service

1. Acceptance of Terms

By accessing or using Cloudnan's services ("Service"), provided by PT Wastu Peladen Nusantara ("Company"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you are prohibited from using the Service. These Terms apply to all visitors, users, customers, and others who access or use the Service.

2. Description of Service

PT Wastu Peladen Nusantara, operating as Cloudnan, provides a server fleet management platform built on a secure control-plane architecture. Instead of requiring open inbound ports on your servers, a lightweight agent deployed on each managed server connects outward to our control plane via encrypted gRPC, enabling you to:

• Monitor server health, CPU, memory, disk, and network in real time
• Manage Docker containers and images
• Browse, upload, and download files on managed servers
• Manage system users and SSH access
• Configure and manage WireGuard VPN tunnels
• Execute AI-assisted server operations

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

3. Your Data — Encrypted Storage Commitment

Cloudnan offers Storage features where you can upload and retain files — including database dumps, source code archives, configuration backups, and other sensitive data. All such files are stored on Cloudnan infrastructure. The following commitments govern how that data is handled:

You are solely responsible for safeguarding your encryption keys. If an encryption key is lost, the associated stored data cannot be recovered by Cloudnan or any third party. We strongly recommend maintaining a secure, offline copy of your encryption key.

4. User Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account or organization
• Notifying us immediately at [email protected] of any unauthorized access
• Keeping your account information current and accurate

You may not share your account credentials, create accounts for others without their consent, or use automated means to create accounts.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not use the Service to:

• Violate any applicable local, national, or international law or regulation
• Infringe on intellectual property rights of any person or entity
• Distribute malware, ransomware, spyware, or other harmful software
• Attempt unauthorized access to systems, networks, or accounts
• Launch denial-of-service attacks against third parties
• Engage in cryptocurrency mining without explicit authorization from your own server owners
• Transmit content that is illegal, harassing, defamatory, or obscene
• Resell or redistribute access to the Service without our written consent

Violations of this section may result in immediate account suspension or termination.

6. Payment Terms

Paid plans are billed in advance on a monthly or annual cycle, depending on the plan you select. By subscribing:

• You authorize Cloudnan to charge your payment method at each renewal cycle
• Subscriptions automatically renew unless cancelled before the renewal date
• All fees are charged in the currency displayed at checkout (USD or IDR)
• Price changes will be communicated at least 30 days before taking effect
• Refunds are not issued for partial billing periods, except where required by law

To cancel your subscription, visit your billing settings. Cancellation takes effect at the end of the current billing period. You retain full access to the Service until then.

7. Service Level Agreement

Cloudnan targets 99.9% monthly uptime for the control plane API and dashboard, measured excluding scheduled maintenance windows. For paid plans:

• Downtime below 99.9% monthly uptime may entitle eligible customers to service credits
• Scheduled maintenance is announced at least 48 hours in advance via status page and email
• SLA credits do not apply to Free plan users or downtime caused by factors outside our control

The Cloudnan agent runs on your own servers. Availability of agent-dependent features depends on the health of your servers and your network connectivity.

8. Intellectual Property

The Cloudnan platform, software, branding, and documentation are owned by Cloudnan and protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of all data, code, and content on your servers. Using Cloudnan to manage your infrastructure does not transfer any ownership rights to us. We claim no rights over your applications, databases, source code, or files.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Cloudnan's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

In no event shall Cloudnan be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cloudnan and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time:

• You may delete your account at any time through your account settings. Cancellation of a paid plan takes effect at end of the billing period.
• We may suspend or terminate your account immediately for violations of these Terms, non-payment, or conduct we reasonably believe poses a risk to other users or the Service.

Upon account deletion, we will permanently delete your account data and configuration within 30 days, subject to any legal retention requirements. Encrypted backup files under your control will be deleted from our storage at that time.

12. Governing Law

These Terms are governed by the laws of the Republic of Indonesia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction in Indonesia, unless otherwise required by applicable consumer protection law in your jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and a notice on our platform at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
